VENTION'S TERMS & CONDITIONS OF SALE

ANY OFFER BY VENTION TO SELL OR PROVIDE PRODUCTS OR SERVICES IS SUBJECT TO YOUR ACCEPTANCE OF THESE TERMS & CONDITIONS OF SALE.

  1. Definitions

    1. "Agreement" means the contract formed by your placement of an order to purchase products or services, on the Website or through a purchase order, accepted by Vention.
    2. "day" means a calendar day.
    3. "Vention" means Vention Inc., Vention U.S., Vention GmbH or any other Vention Inc. affiliate or subsidiary.
    4. "Partner Product(s) or Service(s)" means products provided by third party companies ("Partners") with which Vention has commercial marketplace agreements, including robots and automation tools, sold by Vention on the Website.
    5. "Regulation(s)" mean all applicable laws, regulations, codes, norms, guidelines, industry or engineering standards.
    6. "Website" means vention.com, vention.io or any other internet platform made available by Vention.
  2. Order Placement

    1. Orders are binding upon acceptance by Vention, whether the order was placed on the Website or through a purchase order (when authorized by Vention). Vention reserves the right to reject any order.
    2. By placing an order for products or services, you accept that these terms and conditions govern the sale, to the to the exclusion of any other terms and conditions. Only terms that have been specifically and fully approved in a written agreement between you and Vention may amend the terms and conditions applicable to an order. Partner Products or Services are subject to specific terms and conditions: by placing an order for Partner Products or Services, you are deemed to have read and accept that these specific terms and conditions govern the sale of the Partner Products or Services purchased.
    3. If you are placing an order on behalf of a corporate entity, you represent and warrant that: (a) said entity is duly formed, validly existing and in good standing under the laws of its jurisdiction and (b) that you are duly authorized to act on its behalf and bind it to all the terms and conditions applicable to the sale of the products or services purchased.
  3. Order Cancellation

    1. Vention may cancel your order, prior to delivery, for any reason, including if the product is discontinued or can no longer be shipped to you for any other reason. If Vention cancels your order for a reason other than your default, Vention will refund you for payments received prior to the termination.
    2. You may cancel orders at no cost within twenty-four (24) hours following order placement ("Cancellation Period"), beyond the Cancellation Period, any cancellation is subject to Vention's approval and payment of a cancellation fee equal to thirty percent (30%) of the order purchase price. In any event, you may not cancel an order after the product has been shipped.
  4. Pricing and Payment terms.

    1. Payment Terms. Unless paid in full via credit card at the time of order placement, orders are payable in accordance with the following payment terms: 50% of the purchase price upon order placement, 50% net 30 after delivery.
    2. Interest. Without prejudice to any of its other rights or remedies, in case of late payment, vention may charge interest on any late payment at a rate of 12% per annum or at the legal interest rate then in force, whichever is the highest.
    3. Taxes. Unless otherwise stated by vention in your order, prices include all applicable taxes, as well as all fees, costs, and expenses related to packaging, crating, boxing, and, for deliveries in canada, the united states, european union member states and the uk, all applicable customs, tariffs, and duties.
    4. Changes to Published Prices. Prices published on the website are subject to change without notice. changes in pricing do not apply to any order placed and accepted by vention prior to the revised prices being published on the website.
    5. Currency. Prices are expressed in the currency that was made available to you and that you have selected on the website at the time of order placement.
    6. Rebates. Rebates are applicable to vention products or services only. unless stated otherwise by vention, rebates do not apply to partner products or services.
    7. Payment Processing. Vention (or a third-party payment processor, if applicable) will charge all applicable fees on the credit card specified for the payment and process the charges prior to shipment. you are solely responsible for reading the terms and conditions and/or privacy policies applicable to the third-party payment processor services before using them. vention has no control over such services and is not responsible for such services. vention is not responsible for completing any transaction that cannot be cleared by the third-party payment processor, whether because there are insufficient funds on your credit card or otherwise. if such a situation occurs, you will receive an error message and the transaction will be denied. moreover, vention may suspend your account. such suspension does not relieve you of your obligation to pay any fees owed to vention.
  5. Delivery, Transfer of Title, and Risk of Loss.

    1. Delivery Terms. Unless specifically agreed otherwise, delivery and transfer of risk will be in accordance with the latest issue of Incoterms® 2020: (i) DDP for Canada, the United States, European Union member states and the UK and (ii) DAP or CIF for other countries and territories as indicated in your order. Shipment will be by such mode of transport and route as determined by Vention or the Partner. Vention reserves the right to make shipments in multiple parcels and installments when necessary and to invoice each parcel and installment in accordance with Vention's payment terms.
    2. Title Transfer. Title to the product is transferred to you upon payment in full of the purchase price stated in the order.
    3. Delivery Schedule. Vention will make reasonable commercial efforts to meet the scheduled delivery dates but does not guarantee these dates. Failure to make shipments as scheduled does not constitute a cause for cancellation or for claims of any nature against Vention.
    4. Shipping Information. You are responsible for providing complete and accurate shipping information for the delivery of the products. If you fail to do so, Vention may cancel the order or store the products ordered at your risk and expense, to the full exoneration of Vention.
  6. Design and Installation Services.

    1. Design Services. At your request, Vention may design the product you wish to purchase, in accordance with your specifications ("Design Services"). The performance of Design Services by Vention is conditional upon you and Vention agreeing to the specific terms and conditions applicable to such Design Services.
    2. Pre-Delivery Assembly Service. You may purchase pre-delivery assembly services offered by Vention ("Assembly Services"): i) if extra items are necessary for the Assembly Services, Vention will outline the items that you must purchase and charge you for said items at the price currently published on the Website; ii) assembly of the products will be performed in accordance with your design, Vention will not validate or take any responsibility for such design, unless specifically agreed otherwise; (iii) you must validate the structural integrity of the assembled product upon reception (iv) you may cancel Assembly Services at no cost within twenty-four (24) hours of placing the order for the products, beyond that period, any cancellation will be subject to a cancellation fee equivalent to thirty percent (30%) of the Assembly Service price. To cancel Assembly Services, contact: support@vention.com.
    3. Additional Services. Certain additional assembly or installation services such as on-site assembly, programming, equipment calibration, and equipment commissioning services for the Products you purchased ("Additional Services") may be provided by Vention. The performance of Additional Services by Vention is conditional upon you and Vention agreeing to the specific terms and conditions applicable to such Additional Services.
  7. Support Services.

    1. General Provisions. These general provisions apply to all after sales support services offered by Vention to support you in resolving performance issues or to provide you with training relating to your product ("Support Services"): (i) the Standard Service Plan is included as part of your product purchase, other Support Services, including remote support services or training services may be subscribed to or purchased separately and may be subject to specific terms and conditions; (ii) in all cases, Support Services are subject to your compliance with all your obligations under these terms and conditions; (iii) Support Services do not apply to Ineligible Products (as defined in the "Warranty" section) and Vention has no responsibility to provide Support Services for Ineligible Products; (iv) as part of the Support Services, Vention may in addition provide you with limited complimentary online documentation consisting of standard generic training sessions for assembly, programming, and integration of products, the content and format of which is decided by Vention and may be changed by Vention at its sole discretion ; (v) all support requests under any Support Services plan must be submitted via email to Vention Integration Coaches at: integrationsupport@vention.cc; (vi) support requests not submitted in accordance with this instruction may not be received or answered by Vention; (vii) upon receipt of a duly submitted support request, Vention will make reasonable commercial efforts to identify the issue to be resolved ("Root Cause"); (viii) the Root Cause is subject to Vention's final determination; (ix) in order to assist Vention in defining the Root Cause and resolving the issue, you must report to Vention all problems with the Product, provide Vention with all information, access, and good faith cooperation required to facilitate the provision of the Support Services and promptly implement any corrective procedure or duly perform any instruction provided by Vention to support the diagnosis of the Root Cause or to resolve the issue reported; (x) in the event you fail to provide the required assistance or to comply, in whole or in part, with any instructions or recommendations provided by Vention or with any obligation hereunder, the whole to Vention's satisfaction, Vention may, at its sole discretion, refuse you the benefit of the Support Services plan and the Limited Vention Product Warranty and Vention will have no further obligation to you with respect to the Support Services plan and the Limited Vention Product Warranty for said product; (xi) in the event on-site technical Support Services are required for a service request, you shall be responsible for all associated out-of-pocket costs and expenses incurred by Vention’s representative in connection with the performance of technical Support Services, including customary and reasonable travel and living costs and expenses and costs and expenses to implement required safety measures determined by Vention to ensure the safety of its representative; (xii) a fifteen percent (15%) fee will be added to the costs and expenses charged in relation to the on-site support, Vention will provide an estimate of such costs beforehand; (xiii) you are responsible for granting access to the location at the arranged time and providing a safe working environment required for Vention to perform the Support Services; (xiv) the same payment terms and conditions as those in place when the order for which the Support Request is made applies for payment of the Support Services; (xv) a Support Request is resolved and Vention has no further obligation towards you (except as provided in the Limited Vention Product Warranty) when you receive one of the following: (a) a solution to resolve the problem; (b) a notice from Vention that the Root Cause of the Problem originates from a cause other than a defect in the products or services provided by Vention or in a Partner Product or Service (for example if the issue originates from your design, installation, use or maintenance of the product); or (c) you choose not to have Vention provide the Support Services. (xvi) Vention does not guarantee that the problem being reported in a Support Request will be resolved; (xvii) Any Support Services plan is for your exclusive benefit and cannot be transferred or assigned.
    2. Standard Support Services Plan. The Standard Support Services Plan provided by Vention is free of charge if the product is covered under the Limited Vention Product Warranty, unless otherwise provided herein, and is valid for a period of one (1) year after the date of purchase. Phone and email support is available Monday through Friday, from 9AM to 5PM, Eastern Standard Time, excluding weekends and Canadian holidays ("Hours of Operation"). Support Services availability may occasionally vary from stated hours due to downtime for systems and server maintenance, and circumstances beyond the control of Vention. Phone and chat support requests will be handled in the order in which they are received. Vention will make reasonable commercial efforts to respond to a Support Request (as defined herein) within a reasonable time ("Response Time") but does not guarantee that a response will be provided within a specific period. All Response Times are measured during the Hours of Operation. Vention provides up to two (2) hours of Support Services at no charge for the sum of all individual Support Requests for a given product or system made whole by the sum of purchased products, whether through a single or multiple orders, as defined by Vention. If the Root Cause of a Support Request is determined by Vention as originating from a defect in the products or the services sold by Vention, Vention will provide Support Services at no charge until the issue is resolved, within the limits of the Limited Vention Product Warranty. If the Root Cause is identified by Vention as originating from a cause other than a defect in the products or the services themselves, any time invested at identifying the Root Cause and solving the Root Cause, in excess of the initial two (2) hours of Support Services provided at no cost, will be charged at Vention’s hourly rate applicable at the time of the service request, multiplied by the number of hours it takes to resolve the issue, or until (a) you request that the Support Services stop, or (b) Vention decides to stop providing the Support Services; (ix) for clarity, if Vention identifies that the Root Cause triggering the Support Request originates from a cause other than a defect in the products or services provided by Vention (for example if the issue originates from your design, installation, use or maintenance of the product), Vention shall have no responsibility to provide Support Services to resolve the issue, over and above the two (2) hours of Support Services included in the Standard Service Plan.
    3. Hourly Customer Support Services Plan. Vention offers a remote support option where hourly pricing applies to support in addition to the Standard Services Plan offered by Vention. The Hourly Customer Support Packages are defined on Vention's Platform. Vention will respond to Support Requests in accordance with the service levels for the applicable Hourly Customer Support Services Plan provided to you by Vention when purchasing the Services Plan. The priority level is determined by Vention based on the information provided in the Support Request, in accordance with the following definition: (i) "Urgent" means a critical issue completely stopping the Solution from functioning or being used and causing a material impact on your operations; (ii) "High" means an issue degrading the performance of the Solution below the Application’s or Custom product’s applicable performance specification defined in the purchase agreement; and (iii) "Normal" means any other technical issues or questions.
    4. Training Services. The scope and content of Training Services plans are defined on the Website. Training Services are not offered to resolve performance issues and do not replace Support Services requests to resolve performance issues with your product.
    5. Subscription plans. Support Services offered by Vention under subscription plans are also subject to Vention's Subscription Terms and Conditions
  8. Intellectual Property.

    1. Vention IP Unless specifically agreed otherwise, all rights, titles, and interests in any drawing, illustration, plan, instruction manual, design, hardware, program or software created by Vention belong exclusively to Vention, including any intellectual property right therein ("Vention IP"). Upon request, you will do such things and execute such acts as may be legally required to perfect Vention's title and give full effect to its rights in Vention IP.
    2. Embedded Vention IP. To the extent a product you order incorporates or embeds Vention IP, Vention hereby grants you a personal, non-transferable, non-exclusive, non-sublicensable, revocable, and limited license to use such Vention IP only to the extent necessary for your installation, operation, and maintenance of the product. Except as specifically set out herein, you do not have, and you hereby irrevocably waive and renounce to assert or claim, any right, title, and interest in any intellectual property belonging to Vention, its licensors, Partners or other Users.
    3. No Reverse Engineering. You may not directly, or indirectly, reverse engineer, or aid or assist in the reverse engineering, of all or any part of the product or any associated hardware and software. Reverse engineering includes, without limitation, decompiling, disassembly, sniffing, peeling semiconductor components, or otherwise deriving source code.
  9. Disclaimers.

    1. Pre-Sale Review Services. Vention may perform a preliminary review of your product to assist you in scoping and designing your product on the Website. This preliminary review does not constitute an engineering opinion and does not replace consultations with engineers, other suitably trained professionals or resources that may be required to ensure your product is fit for its intended purpose, meets your specifications and applicable laws and regulation or that it is reliable or safe to operate.
    2. Designs. Regardless of any advice or support given to you by Vention, you are solely responsible for your design, as if you independently created such design and performed the underlying engineering without any assistance from Vention. In particular, and without limitation, you are solely responsible to verify and validate that your product: (i) complies with all applicable Regulations; (ii) is suitable for its intended purpose, reliable and safe to operate, the whole before purchasing the product.
    3. Official Designs. Any reference on the Website to a design or user content being licensed or credentialed in some manner, or badged, tagged, rated, vetted as “official” or any similar designation, is not an endorsement, certification or guarantee by Vention of such design or user content. Such a designation does not provide any representation or warranty that the design or user content is fit for any particular purpose.
    4. Safety. THE PRODUCTS PROVIDED BY VENTION OR ITS PARTNER(S) MAY CAUSE SERIOUS DAMAGES AND SEVERE INJURIES (INCLUDING DEATH). Products may require specific safety features, or engineering validations, including structural and safety risk assessments. You are solely responsible for performing these engineering validations and assessments and to incorporate and install all required safety features to ensure your product can be installed and operated safely and in accordance with all applicable Regulations. Without limiting the foregoing, you are solely responsible for validating that any anchoring or electrical wiring to your existing equipment, building structure or flooring complies with all applicable Regulations. If Vention recommends a particular design feature to mitigate a safety risk and you reject such recommendation, you take full responsibility for implementing an equivalent safety mitigation measure to address the safety risk identified by Vention.
    5. Installation and Maintenance. Vention is not responsible for the assembly, installation, integration, use, operation, and maintenance of the product ("Installation and Operation"). You are solely responsible for the Installation and Operation of your product. You should not rely exclusively on the assembly or maintenance instructions provided by Vention: these instructions are given to you for guidance purposes only and are not exhaustive. You must exercise due care and take all required precautions for the Installation and Operation of your product to prevent any injury, damage, malfunction or deviation from applicable Regulations.
    6. Certified Systems Integrators ("CSI") or Vention Value-Added Partners ("VAP"). Vention is not responsible for the assembly, installation, integration, use, operation, and maintenance of the product ("Installation and Operation"). You are solely responsible for the Installation and Operation of your product. You should not rely exclusively on the assembly or maintenance instructions provided by Vention: these instructions are given to you for guidance purposes only and are not exhaustive. You must exercise due care and take all required precautions for the Installation and Operation of your product to prevent any injury, damage, malfunction or deviation from applicable Regulations.
    7. Food-Grade. Vention does not sell food-grade compatible products. You are responsible for evaluating if food-grade compliance is required for the intended use of the product you are purchasing.
  10. Limited Vention Product Warranty.

    1. Limited Warranty. Vention warrants that the product is free from defects in material or workmanship when sold ("Limited Vention Product Warranty"), for a period of 12 months from delivery ("Warranty Period").
    2. Remedy. If a defect covered under the Limited Vention Product Warranty is notified to Vention within the Warranty Period, Vention, will, at its sole discretion, either: (a) repair or replace the defective product; or (b) accept the return of the defective product and refund you the price actually paid for such product. Repair or replacement may be made with a new or refurbished product, at Vention's sole discretion. If the Vention product is no longer available, Vention may, at its sole discretion, replace the Vention Product with a similar product of similar function. Any product that has either been repaired or replaced under this warranty will be covered by the terms of this warranty for the longer of: (a) ninety (90) days from the date of delivery of the repaired product or replacement product; or (b) the remaining Warranty Period.
    3. Notices. To benefit from the Warranty, you must notify Vention of the defect in writing at: warranty@vention.com during the Warranty Period. The notice must provide a description of the alleged defect.
    4. Return of Defective Products. If a defective product needs to be dismantled, you will be responsible to dismantle the product to Vention at your expense, in accordance with Vention's instructions. Vention will bear the reasonable return costs, as applicable, of the defective product and the shipping costs of the repaired or replacement Product that Vention may send in exchange of your defective product.
    5. No fault found. If a product for which you make a warranty claim is found not to be defective, you will reimburse Vention for all costs incurred in relation to the claim, including labor, transportation and shipping costs.
    6. Exclusions. The Limited Vention Product Warranty does not cover products that have been subject to (collectively "Ineligible Products"): (a) modifications, alterations, tampering or improper assembly, installation, calibration, maintenance or repairs, including maintenance or repair in a manner that does not comply with Vention’s maintenance instructions and all applicable Regulations; (b) handling, storage, assembly, installation, testing or use not in accordance with the instructions provided by Vention (if any) or made in an improper or unlawful manner; (c) accident or abuse or misuse of the product; (d) any Partner Products, even if packaged or sold with Vention products; (e) connection of the product to or incorporation of the Product into other objects, power or external circuitry; (f) defective design or improper assembly or use of the product; (g) use of the product outside its intended operation environment. The Limited Vention Product Warranty does not cover consumable parts, including batteries (even if packaged or sold with the Vention Product).
    7. Partner Products. Partner Products are excluded from the Limited Vention Product Warranty. Certain warranties may be provided by the Partner and may differ from those provided herein. It is your responsibility to request that information from the Partner directly.
    8. Exclusive benefit. The Limited Vention Product Warranty is to your exclusive benefit and cannot be assigned or otherwise transferred to any other person or party.
  11. Disclaimer of Warranty, Limitation of Liability and Indeminfication.

    1. THE LIMITED VENTION PRODUCT WARRANTY SET FORTH HEREIN IS EXCLUSIVE AND IN LIEU OF ALL OTHER WARRANTIES. TO THE FULLEST EXTENT PERMITTED BY LAW, VENTION HEREBY DISCLAIMS ANY OTHER WARRANTY, EXPRESS OR IMPLIED, CONTRACTUAL OR STATUTORY. WITHOUT LIMITING THE GENERALITY OF THE FOREGOING, VENTION GIVES NO WARRANTY IN RELATION TO ANY INFORMATION, ADVICE, SERVICE OR SUPPORT PROVIDED TO YOU IN CONNECTION WITH ANY PRODUCT, INCLUDING IN RELATION TO ITS DESIGN, ASSEMBLY, INSTALLATION AND OPERATION, ITS QUALITY, PERFORMANCE OR SUITABILITY FOR ANY PURPOSE, AND YOU HEREBY WAIVE ANY CLAIM YOU MAY HAVE IN RELATION THERETO AGAINST VENTION, ITS SHAREHOLDERS, DIRECTORS, OFFICERS, EMPLOYEES AND AGENTS ("VENTION INDEMNIFIED PARTIES").
    2. YOU WILL INDEMNIFY AND HOLD HARMLESS THE VENTION INDEMNIFIED PARTIES FROM AND AGAINST ANY AND ALL CLAIMS, INCLUDING REASONABLE LEGAL FEES INCURRED IN DEFENDING AGAINST ALL CLAIMS, DIRECTLY OR INDIRECTLY RESULTING FROM OR IN CONNECTION WITH (I) THE DESIGN, QUALITY OR PERFORMANCE OF ANY PRODUCT OR PARTNER PRODUCT; (II) THE USE OF ANY USER CONTENT; (III) THE ASSEMBLY, INSTALLATION AND OPERATION OF ANY PRODUCT OR PARTNER PRODUCT; (IV) ANY INFORMATION, ADVICE, SERVICE OR SUPPORT PROVIDED BY A VENTION INDEMNIFIED PARTY IN CONNECTION WITH ANY PRODUCT AND (V) THE ALLEGED OR ACTUAL INFRINGEMENT OF ANY INTELLECTUAL PROPERTY RIGHT BY A PRODUCT, A PARTNER PRODUCT OR ANY PART THEREOF.
    3. EXCEPT IN CASES WHERE SUCH LOSSES OR DAMAGES RESULT FROM ITS GROSS NEGLIGENCE OR INTENTIONAL MISCONDUCT, IN NO EVENT SHALL ANY VENTION INDEMNIFIED PARTY HAVE ANY LIABILITY, UNDER ANY CAUSE OF ACTION OR LEGAL CONSTRUCT, FOR: (I) INDIRECT, SPECIAL OR PUNITIVE DAMAGES OF ANY KIND; (II) DAMAGES FOR LOSS OF REVENUE OR PROFITS, LOSS OF BUSINESS OR GOODWILL; (III) DAMAGES FOR LOSS, CORRUPTION, OR UNAUTHORIZED ACCESS TO, OR DISCLOSURE OF, INFORMATION OR DATA; OR (IV) DAMAGES FOR ANY OTHER FINANCIAL LOSS, WHETHER FORESEEABLE OR NOT, AND EVEN IF VENTION HAD BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. EVEN IN CASES OF GROSS NEGLIGENCE OR INTENTIONAL MISCONDUCT, A VENTION INDEMNIFIED PARTY WILL ONLY BE LIABLE FOR SUCH DAMAGES WHICH ARE A DIRECT RESULT OF ITS FAULT.
    4. IN THE EVENT THAT A VENTION INDEMNIFIED PARTY IS FOUND LIABLE TO PAY ANY DAMAGES, THE VENTION INDEMNIFIED PARTY’S TOTAL CUMULATIVE LIABILITY WILLL NOT EXCEED THE PURCHASE PRICE OF THE PRODUCT OR SERVICE GIVING RISE TO THE CLAIM.
    5. HE ABOVE LIMITATIONS AND EXCLUSIONS OF LIABILITY WILL NOT BE AFFECTED IF ANY REMEDY PROVIDED HEREIN FAILS ITS ESSENTIAL PURPOSE.
    6. TO THE FULLEST EXTENT PERMITTED BY LAW, ANY CLAIM OR ACTION BROUGHT AGAINST VENTION ARISING OUT OF ANY PRODUCT OR SERVICE MUST BE BROUGHT WITHIN ONE YEAR from the day your right of action arises.
  12. Amendments.

    1. Vention may amend this Agreement or any section of this Agreement, in whole or in part, at any time. In case of material changes to this Agreement, Vention will inform you of such change by posting a notice on the Website informing you of such amendment, or by any other reasonable means elected by Vention. Your continued use of the Website after such changes will indicate your acceptance of such changes. Refusing an amendment entails the termination of this Agreement, the automatic deactivation of your Account and denial of access to the Service.
  13. General Provisions.

    1. Governing Law and jurisdiction. This Agreement shall be governed by and construed by the laws of the Province of Québec, Canada, and the federal laws of Canada applicable therein. The parties hereby irrevocably submit and attorn to the exclusive jurisdiction of the Courts of the district of Montreal, Province of Québec.
    2. Entire Agreement. This Agreement is the entire and exclusive agreement between Vention and you regarding your purchase of products and services, and this Agreement supersedes and replaces any prior agreements with respect thereto.
    3. Assignment. You may not assign or otherwise transfer this Agreement or any of its rights or obligations hereunder to any third party without the prior written consent of Vention, which consent is within Vention’s sole discretion. No assignment or delegation by you shall relieve or release you from any of your obligations under this Agreement. Subject to the foregoing, this Agreement shall be binding upon, inure to the benefit of, and be enforceable by each of the parties and their respective successors and assignees. Vention shall be allowed to assign this Agreement to any third party without requiring your consent.
    4. No Partnership. Nothing in this Agreement shall constitute a partnership or joint venture between you and Vention.
    5. Severability. If a particular provision of this Agreement is held to be invalid by a court of competent jurisdiction, the provision shall be deemed severed from this Agreement and shall not affect the validity of this Agreement as a whole.
